The agreement
These Terms of service (the “Terms”) are an agreement between you and Citeplume (“Citeplume”, “we”, “us”) for the use of citeplume.com, the Citeplume app and its features (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy policy. If you use the Service for a company, you agree on its behalf and confirm you’re authorized to.
Eligibility and your account
You must be at least 18 and able to form a binding contract. You sign up with Google or are invited by us; keep your sign-in secure, turn on two-factor sign-in if you can, and tell us at once if you think someone else has used your account. You’re responsible for what happens under your account. One person per account: don’t share it.
What the Service does
Citeplume measures and improves how readily AI answer engines can find, quote and cite your site: it checks pages and websites, asks AI engines questions, scores the results, and proposes fixes. Fixes are written for you as pull requests, CMS patches you preview and confirm, or steps to follow. We never merge a pull request or publish a change for you; you decide what goes live.
If you create a website webhook, each call to it runs an analysis and, within the AI tokens per run you set, writes suggestions and opens a pull request without asking you again; those tokens count toward your plan like any other run. Keep its token secret, and delete the webhook or set its tokens to 0 to stop.
We may change, add or remove features. If we remove something material from a paid plan, we’ll tell you in advance.
Plans, tokens and payment
Plans are described on the Pricing page. Each includes AI tokens a month; tokens past the allowance are charged at the plan’s price per million, up to the plan’s monthly cap, so a month never costs more than the cap. Features that spend tokens show an estimate and run only after you confirm.
Paid plans renew automatically each month until you cancel. Payments are processed by Dodo Payments, which may also handle sales tax and invoices; its terms apply to the payment. You authorize the recurring charge and the usage charges for each month. You can change or cancel your plan from Billing at any time; a cancellation takes effect at the end of the current period, and you keep the plan until then.
Except where the law requires otherwise, fees already paid are not refundable. We may change prices; changes apply from your next billing period after we tell you, and you can cancel before then.
Your content and connected services
You keep all rights to the pages, websites, text and files you add or connect (“Your content”). You give us permission to store, copy, process and send Your content to our service providers only as needed to run the Service for you, including to the AI engines a feature uses.
You confirm you own or are authorized to analyze and change every website, repository and CMS you connect, and that Your content doesn’t break the law or anyone’s rights. When you connect GitHub, GitLab or a CMS, you let us act in it on your behalf, within the access you granted, for the fixes you ask for. You can disconnect at any time.
Acceptable use
Don’t use the Service to:
- analyze, crawl or change sites you aren’t authorized to, or overload anyone’s site;
- break the law, infringe others’ rights, or publish deceptive, defamatory or harmful content;
- get around token budgets, plan caps, rate limits or security controls, or access other users’ data;
- reverse engineer, resell or copy the Service, or use it to build a competing product; or
- send malware, spam or anything that harms the Service or its users.
We may suspend or limit an account that breaks these rules, and remove content that does.
AI output and results
The Service uses AI models, which can be wrong, incomplete or inconsistent. Scores, answers, briefs, plans and proposed fixes are suggestions: review them before you rely on them or publish anything. AI answer engines are run by third parties and change often; we don’t control them and can’t guarantee that any engine will find, cite or describe your site in a particular way, or any traffic, ranking or business result.
Our rights
The Service, its software, design, brand and content (other than Your content) belong to Citeplume and its licensors. We give you a limited, non-exclusive, non-transferable right to use the Service under these Terms. If you send us feedback or ideas, we may use them without obligation to you.
Third-party services
The Service works with services we don’t control (AI engines, Google, GitHub, GitLab, CMSs, Dodo Payments). Their terms govern your use of them, and we aren’t responsible for them.
Ending the agreement
You can stop using the Service and ask us to delete your account at any time. We may suspend or end your access if you break these Terms, if your use creates risk or legal exposure for us or others, or if we stop offering the Service, with notice when we reasonably can. When the agreement ends, your right to use the Service stops and we delete your data as the Privacy policy describes. Sections that by their nature should survive (fees owed, your content’s license for deletion, our rights, disclaimers, limits of liability, indemnity, governing law) survive.
Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR THAT AI OUTPUT WILL BE ACCURATE.
Limit of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, CITEPLUME WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, EVEN IF WE WERE TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ANY CLAIM ABOUT THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AND US $100. Some states don’t allow some of these limits, so they may not all apply to you.
Indemnity
You will defend and hold Citeplume harmless from claims, losses and costs (including reasonable legal fees) that arise from Your content, the sites and accounts you connect, or your breach of these Terms or the law.
Governing law and disputes
These Terms are governed by the laws of the State of [State] and the federal laws of the United States, without regard to conflict-of-law rules. Before filing a claim, contact us through the Contact page so we can try to resolve it within 30 days. Any dispute that isn’t resolved will be decided by the state or federal courts located in [State], and you and Citeplume agree to their jurisdiction. Either of us may bring a qualifying claim in small-claims court.
General
These Terms and the Privacy policy are the whole agreement between you and us about the Service. If a part is found unenforceable, the rest stays in effect. Our not enforcing a right isn’t a waiver. You may not transfer these Terms without our consent; we may transfer them in a merger, acquisition or sale of assets. Neither of us is liable for delays caused by events beyond reasonable control.
Changes to these Terms
We may update these Terms. We’ll post the new version here with a new effective date and, for material changes, tell you in the app or by email at least 15 days before they take effect. Continuing to use the Service after that means you accept them; if you don’t, stop using the Service and cancel your plan.
